Terms of Use

These Terms of Use (the “Terms”) are a binding agreement between you (“you”) and Arborlinked, LLC (“Arborlinked,” “Company,” “we,” “us,” or “our”). The Terms govern your access to and use of arborlinked.com and any content, functionality, features, tools, and services offered on or through the website (collectively, the “Platform” or “Services”). By accessing or using the Platform, you accept and agree to be bound by these Terms and our Privacy Policy located at: http://arborlinked.com/privacy-policy (the “Privacy Policy”), which is incorporated by reference. If you do not agree, do not use the Platform.
1) The Platform’s Role (Marketplace / Venue Only)
Arborlinked provides an online venue and related tools intended to connect:
· Employers / Companies (“Employers”) that may create accounts, purchase subscriptions, and post job listings; and
· Job Seekers / Applicants / Candidates (“Job Seekers”) that may create accounts, build profiles, upload resumes, search and apply for jobs, and communicate with Employers through the Platform.
Arborlinked is not an employer, recruiter, staffing agency, employment agency, or agent of any user, and Arborlinked is not a party to any employment relationship, employment decision, or employment dispute between Employers and Job Seekers. We do not guarantee that: (a) Employers will fill any position; (b) Job Seekers will obtain employment; or (c) users will respond to applications or messages. We do not control, verify, endorse, or guarantee the accuracy, quality, legality, safety, truthfulness, or completeness of job listings, resumes, profiles, applications, messages, or user conduct.
2) Eligibility
The Platform is offered and available only to users who are 18 years of age or older and who reside in the United States. By using the Platform, you represent and warrant that you meet these eligibility requirements and are legally able to enter into these Terms. If you do not meet these requirements, you must not access or use the Platform.
3) Changes to These Terms
We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Platform thereafter. Your continued use of the Platform following posting of revised Terms means you accept and agree to the changes.
4) Accounts; Registration; Security
To access certain features, you may be required to create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized access to or use of your account or any other security breach. We may disable, suspend, or terminate your account as described in Section 16. If you create or use an Employer account on behalf of a company or other entity, you represent and warrant that you have authority to bind that entity to these Terms and that your entity will be responsible for all activity under the account.
5) Employer-Specific Terms (Responsibilities and Compliance)
Employers are solely responsible for:
· Job postings and all recruiting-related content and communications;
· Recruiting, screening, interviewing, hiring decisions, and employment offers;
· Compliance with all applicable employment and related laws (including wage/hour, anti-discrimination, immigration/work authorization, workplace safety, licensing/certifications, and privacy laws); and
· Handling candidate data they receive through the Platform once received.
Arborlinked does not and will not be responsible for hiring decisions, employment decisions, workplace conduct, wages, benefits, worker classification, immigration compliance, discrimination compliance, background checks, licensing, certifications, or workplace safety.
6) Job Seeker-Specific Terms (Accuracy and Safety)
Job Seekers are solely responsible for:
· The accuracy and completeness of their resumes, profiles, applications, and communications;
· Evaluating the legitimacy and suitability of job opportunities; and
· Their interactions with Employers (including interviews and any off-platform communications).
Sensitive information caution: Do not include unnecessary sensitive personal information (e.g., Social Security numbers, driver’s license numbers, financial account information, or medical information) in resumes, profiles, applications, or messages unless specifically requested by an Employer and legally appropriate.
7) Subscriptions; Fees; Payments (Employers)
7.1 Paid Features; Job Seekers Not Charged. Certain features may be available only to Employers who purchase a subscription or pay fees. Job Seekers are not charged a fee to create an account or apply for jobs.
7.2 Payment Processor. Payments are processed through a third-party payment processor (e.g. Stripe). The payment processor’s terms and privacy practices may apply to your payment transaction. We generally do not store full payment card numbers if avoidable.
7.3 Automatic Renewal; End-of-Term Cancellation.
Auto-Renewal. Unless you cancel before the end of your then-current subscription term, your Employer subscription will automatically renew for successive renewal terms of the same length (each, a “Renewal Term”) at the then-current subscription fee, plus applicable taxes, unless we clearly disclose different renewal terms at the time of enrollment or renewal.
How to Cancel. You may cancel your subscription at any time through your account settings or another online cancellation mechanism we provide. If you enrolled online, you will be able to cancel online. You may also contact us at info@arborlinked.com for assistance.
Effective Date of Cancellation (End of Term). If you cancel, your subscription will remain active through the end of your then-current term. You will not be charged for a subsequent Renewal Term so long as you cancel before the renewal charge is processed. To avoid renewal charges, cancel before your renewal date.
7.4 Billing Authorization. By starting a paid subscription, you authorize us and our payment processor to charge your selected payment method on a recurring basis in accordance with your subscription term until you cancel.
7.5 Price or Material Changes. If we make a material change to your subscription terms (including a price increase, if applicable), we will provide notice as required by applicable law and/or our payment processor’s rules. Changes will apply starting with your next Renewal Term unless otherwise required by law.
7.6 No Refunds. Except where required by law or expressly stated in writing by us, subscription fees are nonrefundable and we do not provide prorated refunds for partial subscription periods.
7.7 Suspension for Nonpayment. We may suspend or terminate paid features for nonpayment, chargebacks, or suspected fraudulent payment activity.
8) User Content (Job Posts, Resumes, Profiles, Applications, Messages)
The Platform may allow users to post, submit, upload, publish, display, transmit, or otherwise make available content, including job postings, resumes, profiles, applications, messages, and other materials (“User Content”).
8.1 Ownership. You retain any ownership rights you may have in your User Content, subject to the license you grant below.
8.2 License to Operate the Platform. By submitting User Content, you grant Arborlinked and our service providers a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, transmit, format, adapt (for technical purposes), and otherwise process your User Content as reasonably necessary to operate, provide, secure, support, and improve the Platform, and to enable sharing with other users as you direct (for example, when a Job Seeker applies to an Employer).
8.3 Your Representations. You represent and warrant that: (a) you own or have all necessary rights to submit your User Content; (b) your User Content does not violate law or third-party rights (including intellectual property and privacy rights); and (c) your User Content complies with these Terms. You are responsible for your User Content. Arborlinked is not responsible or liable for the content or accuracy of User Content posted by you or any other user.
9) Applications, Resume Sharing, and Communications
9.1 Sharing with Employers. When a Job Seeker applies for a position or shares information with an Employer through the Platform, that information (including resumes, profiles, application materials, and messages) will be shared with the relevant Employer so the Employer can evaluate the candidate.
9.2 No Confidentiality Guarantee Once Shared. Arborlinked does not guarantee confidentiality of information once it is provided to an Employer. Employers are responsible for their handling of candidate information once received.
9.3 Messaging Tools; Limited Review. We may provide messaging or communications tools. We are not responsible for the content, accuracy, or outcomes of communications between users. We do not undertake to review all User Content or communications; however, we may monitor, review, remove, or disclose content or communications only as reasonably necessary to operate the Platform, provide support, troubleshoot, investigate suspected misuse, comply with law, protect rights, or enforce these Terms.
10) Acceptable Use; Prohibited Conduct
You agree to use the Platform only for lawful purposes and in accordance with these Terms. In addition to other restrictions, you agree not to:
· Post false, misleading, or fraudulent job postings, resumes, profiles, applications, or communications;
· Impersonate any person or entity or misrepresent your affiliation;
· Engage in harassment, abuse, threats, or offensive conduct;
· Engage in unlawful discrimination or unlawful employment practices;
· Scrape, harvest, data mine, or otherwise extract information (including resumes or contact information) without our written permission;
· Introduce malware or interfere with site operations, security, or integrity;
· Attempt unauthorized access to accounts, systems, or data;
· Upload User Content that infringes intellectual property or privacy rights;
· Send spam or unsolicited promotional messages through the Platform.
We may remove job postings, resumes, profiles, messages, or other content that violates these Terms or creates legal or safety risk.
11) Monitoring; Enforcement; Removal; Cooperation with Law Enforcement
We have the right (but not the obligation) to remove or refuse to post User Content, take action with respect to User Content, disclose your identity or information in response to claims, take legal action for illegal or unauthorized use, and terminate or suspend access for violations of these Terms. We do not undertake to review all material before it is posted and cannot ensure prompt removal of objectionable material after it is posted. We assume no liability for action or inaction regarding transmissions, communications, or content provided by users or third parties.
12) Intellectual Property; Limited License to Use the Platform
The Platform and its entire contents, features, and functionality (including software, text, displays, images, and design) are owned by Arborlinked or its licensors and are protected by intellectual property laws. Subject to your compliance with these Terms, Arborlinked grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purpose, including: (a) Job Seekers: to search, apply, and communicate with Employers; and (b) Employers: to post jobs, manage recruiting workflows, and communicate with Job Seekers. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, transmit, reverse engineer, or otherwise exploit any portion of the Platform except as expressly permitted by these Terms or by us in writing.
The Company name “Arborlinked”, related logos, and all related names, logos, product and service names, designs, and slogans are trademarks of Arborlinked or its affiliates/licensors. You must not use such marks without our prior written permission.
13) Feedback
If you provide suggestions, ideas, feedback, or recommendations regarding the Platform (“Feedback”), you grant us the right to use the Feedback without restriction or obligation to you, unless prohibited by law.
14) Third-Party Services and Links
The Platform may contain links to third-party sites or services (including payment processors). These links are provided for convenience only. We do not control and are not responsible for third-party content, policies, or practices. If you access third-party sites or services, you do so at your own risk and subject to those third parties’ terms.
15) Geographic Restrictions
The Platform is based in Pennsylvania in the United States. We provide the Platform for use only by persons located in the United States. We make no claims that the Platform or any content is accessible or appropriate outside of the United States. If you access the Platform from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.
16) Suspension; Termination
We may suspend, restrict, or terminate your access to the Platform (including your account) at any time, with or without notice, if we believe you have violated these Terms, created risk, or for other lawful reasons, including nonpayment by Employers. Upon termination, the license granted to you under these Terms will end, and you must stop using the Platform. Sections that by their nature should survive termination will survive (including, for example, Sections on User Content license, disclaimers, limitation of liability, indemnification, and dispute resolution).
17) Disclaimer of Warranties
YOUR USE OF THE PLATFORM, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORM IS AT YOUR OWN RISK. THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, ARBORLINKED DISCLAIMS ALL WARRANTIES OF ANY KIND, INCLUDING WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, FITNESS FOR A PARTICULAR PURPOSE, AND AVAILABILITY.
WE DO NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, UNINTERRUPTED, OR SECURE, OR THAT DEFECTS WILL BE CORRECTED. WE DO NOT WARRANT THE ACCURACY OR RELIABILITY OF USER CONTENT, JOB LISTINGS, RESUMES, APPLICATIONS, OR USER COMMUNICATIONS, OR THAT ANY USER WILL OBTAIN EMPLOYMENT OR SUCCESSFUL HIRING OUTCOMES.
18) Limitation of Liability
TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL THE COLLECTIVE LIABILITY OF THE COMPANY AND ITS SUBSIDIARIES AND AFFILIATES, AND THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, AND DIRECTORS, TO ANY PARTY (REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, OR OTHERWISE) EXCEED THE GREATER OF $1,000 OR THE AMOUNT YOU HAVE PAID TO THE COMPANY FOR THE APPLICABLE SERVICE IN THE LAST 12 MONTHS OUT OF WHICH LIABILITY AROSE. This limitation does not apply to liability resulting from our gross negligence or willful misconduct. THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
TO THE FULLEST EXTENT PERMITTED BY LAW, ARBORLINKED WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
19) Indemnification
You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Platform; (c) your User Content; or (d) your violation of any law or third-party right.
Employer-specific: This includes claims arising from your job postings, recruiting practices, hiring decisions, and handling of candidate data once received.
Job Seeker-specific: This includes claims arising from your resume/profile/application accuracy and communications with Employers.
20) Governing Law; Jurisdiction
All matters relating to the Platform and these Terms, and any dispute or claim arising therefrom or related thereto, shall be governed by and construed in accordance with the internal laws of the Commonwealth of Pennsylvania, without giving effect to any choice or conflict of law provision or rule.
Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Platform shall be instituted exclusively in the federal courts of the United States or the courts of the Commonwealth of Pennsylvania, in each case located in the City of Harrisburg and County of Dauphin, except as otherwise provided in the Arbitration section below if invoked.
21) Arbitration (Template Provision)
At Company’s sole discretion, it may require you to submit any disputes arising from these Terms or the use of the Platform to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying Pennsylvania law.
22) Limitation on Time to File Claims
ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.
23) Waiver and Severability
No waiver by the Company of any term or condition set forth in these Terms shall be deemed a further or continuing waiver. If any provision is held invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.
24) Entire Agreement
These Terms, the Privacy Policy, and any additional policies or documents expressly incorporated by reference constitute the sole and entire agreement between you and Arborlinked regarding the Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
